1 Introduction

These Terms & Conditions ("Terms") govern your use of the TheRopOnline website and any digital marketing services provided by TheRopOnline ("we," "us," "our"), a digital marketing agency based in Lucknow, Uttar Pradesh, India.

2 Our Services

TheRopOnline provides digital marketing services including, but not limited to:

• Google Ads (PPC) management
• Social Media Marketing
• Meta Ads management
• Content writing and graphic design
• Website management and maintenance

The exact scope of services, deliverables, and timelines for each client will be defined in a separate proposal, agreement, or order confirmation.

3 Client Obligations

To enable us to deliver our services effectively, the client agrees to:

• Provide accurate, complete, and timely information about their business and goals
• Grant necessary access to accounts, platforms, or assets required for the services (e.g., website, ad accounts, social media pages)
• Review and approve content, creatives, or campaigns within agreed timeframes
• Make payments as per the agreed schedule

Delays caused by the client in providing access, approvals, or information may affect project timelines and results.

4 Payments & Billing

Service fees, payment schedules, and billing cycles will be communicated and agreed upon before the commencement of work. Unless otherwise stated:

• Payments are due in advance or as per the agreed milestone structure
• Advertising budgets (Google Ads, Meta Ads, etc.) are separate from our management fees and are paid directly to the respective ad platforms or through us as agreed
• Late payments may result in pause or suspension of services until dues are cleared
• All fees are exclusive of applicable taxes unless stated otherwise

5 Cancellation & Refunds

Clients may cancel ongoing services by providing written notice as per the notice period specified in their service agreement. Please note:

• Fees already paid for work completed or in progress are non-refundable
• Setup fees, one-time charges, and third-party costs already incurred are non-refundable
• Any refund, if applicable, will be assessed on a case-by-case basis at our sole discretion

6 Performance & Results Disclaimer

While we apply industry best practices and continuous optimization to all campaigns, digital marketing outcomes (such as search rankings, ad performance, leads, or sales) depend on numerous external factors including market competition, platform algorithm changes, budget, and industry conditions.

TheRopOnline does not guarantee specific rankings, traffic numbers, lead volumes, or revenue outcomes. Any figures, case studies, or examples shared are illustrative and not a guarantee of future performance.

7 Intellectual Property

Unless otherwise agreed in writing:

• Final deliverables (content, creatives, campaigns) become the property of the client upon full payment
• TheRopOnline retains the right to showcase completed work, results, and case studies in its portfolio and marketing materials, unless the client requests confidentiality in writing
• Any proprietary tools, templates, or frameworks used by TheRopOnline remain the property of TheRopOnline

8 Third-Party Platforms

Our services may involve the use of third-party platforms such as Google Ads, Meta Business Suite, analytics tools, and social media platforms. Use of these platforms is subject to their respective terms of service and policies, over which TheRopOnline has no control. We are not liable for service interruptions, account restrictions, or policy changes made by these third-party platforms.

9 Confidentiality

Both parties agree to keep confidential any non-public business information, strategies, or data shared during the course of the engagement, and to use such information solely for the purpose of delivering or receiving the agreed services.

10 Limitation of Liability

To the maximum extent permitted by law, TheRopOnline shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or business opportunities, arising from the use of our services or website. Our total liability for any claim shall not exceed the total fees paid by the client for the specific service in question during the preceding three months.

11 Termination

We reserve the right to suspend or terminate services if a client breaches these Terms, fails to make payments, or engages in conduct that is unlawful, abusive, or harmful to our business or team. Upon termination, any outstanding payments for work completed remain due.

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh.

13 Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. Any updates will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after such changes constitutes acceptance of the updated Terms.
